1. Who you're contracting with
These Terms govern your use of the Shiftly service ("Service") provided by Rafael Abrams (trading as Shiftly) ("we", "us"). By creating an account or using the Service, you agree to these Terms.
2. The Service
Shiftly is a coverage and shift-tracking tool for nursing homes, clinics, and care teams. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you've selected.
3. Acceptable use
You must not:
- use the Service for unlawful activity, fraud, or spam;
- infringe intellectual property or privacy rights of others;
- attempt to interfere with security (probing, scraping, malware, circumventing rate limits or technical restrictions);
- reverse engineer, resell, or redistribute the Service.
4. Accounts
You're responsible for keeping your credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date.
5. Intellectual property
We retain all right, title, and interest in the Service, including all software, branding, and documentation. You retain ownership of the content you upload, and grant us a limited license to host and process it solely to provide the Service.
6. Payments and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms.
Subscriptions renew automatically at the end of each billing period until canceled. You may cancel at any time via the customer portal accessed from your billing settings; you'll keep access through the end of the period you've already paid for.
7. Service level
We strive for high availability but do not guarantee uninterrupted or error-free performance. We disclaim all implied warranties (including merchantability and fitness for a particular purpose) to the fullest extent permitted by law.
8. Suspension & termination
We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated/serious policy violations. On termination you'll have a reasonable window to export your data before it's deleted.
9. Liability
To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages (including loss of profits, data, or goodwill). Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence where required by law.
10. Indemnity
You agree to indemnify Rafael Abrams (trading as Shiftly) against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
11. Changes to these Terms
We may update these Terms from time to time. We'll notify you of material changes; continued use of the Service after the change takes effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the jurisdiction in which Rafael Abrams (trading as Shiftly) is established, without regard to conflict-of-law principles. Disputes will be resolved in the competent courts of that jurisdiction.
